Anthropic is preparing to publicly file its S-1 investor prospectus as soon as Friday, according to three people familiar with the artificial intelligence company’s plans. The filing would represent a critical step toward what could become the largest IPO in history.
The anticipated market debut is expected to surpass SpaceX’s June IPO. It is also widely viewed as an important test of investor demand for the artificial intelligence boom as concerns mount about the industry’s enormous spending requirements.
Anthropic confidentially submitted a draft IPO registration statement to the Securities and Exchange Commission in June. Under SEC rules, a company using the confidential process must publicly release its registration materials 15 calendar days before its formal investor roadshow begins.
The company did not respond to a request for comment about the timing of its S-1. A public filing would remove a major procedural obstacle on the path toward a potential November listing.
The timing of any offering would remain dependent on market conditions and other factors. Still, the filing would provide regular investors with their first detailed look at the finances and risks surrounding one of the artificial intelligence industry’s fastest growing companies.
Anthropic is spending billions of dollars on artificial intelligence infrastructure needed to train and operate its Claude models. Its efforts include work with Google and Amazon, along with renting graphics processor unit capacity from SpaceX’s Colossus 1 data center.
The company generated $16.3 billion in revenue during the first six months of 2026 and recorded a net loss exceeding $80 billion, according to a Tuesday report from The Wall Street Journal. Wall Street expects Anthropic could raise as much as $100 billion at a $2 trillion valuation, Reuters previously reported.
Anthropic told investors at its San Francisco office last week that revenue increased to $16.8 billion in the third quarter from $11.5 billion in the second quarter, according to the Financial Times. The report also said the company is profitable on an adjusted basis.
The prospective offering arrives as this year’s strong IPO market encounters a more difficult environment. Several recent developments show that investors are becoming less willing to accept ambitious valuations and massive spending plans without deeper scrutiny.
Shares of South Korean data center provider Elice plunged 32% on their first trading day after the company raised $151 million. Firmus Grid, which is backed by Nvidia, abruptly abandoned its public listing plans earlier this month after investors resisted its proposed valuation.
Several other companies have postponed plans to go public and cited market conditions. Publicly traded artificial intelligence companies have also wavered in recent days as investors become increasingly selective about the industry’s immense capital needs.
CoreWeave has faced particularly sharp scrutiny as investors question its future revenue prospects relative to its debt burden. That skepticism reflects a broader shift among investors who aggressively bid up artificial intelligence companies earlier this year but have since become more discerning.
Anthropic’s enormous potential offering could influence more than its own public market ambitions. One person familiar with the situation said the timing of the IPO is expected to be an important factor for other companies seeking to list in the coming weeks.
CEO Dario Amodei founded Anthropic with his sister Daniela, who serves as the company’s president. The company has built a strong enterprise presence through its Claude chatbot, the Claude Code artificial intelligence coding tool, and Claude Cowork.
Rival OpenAI was initially expected to launch an IPO this year but is now projected to reach the public markets in early 2027. Anthropic’s filing could therefore place its financial performance, spending demands, and risks before regular investors first.
The planned disclosure comes at a pivotal moment for the artificial intelligence trade. Anthropic may seek as much as $100 billion at a $2 trillion valuation, even as the market’s enthusiasm confronts growing caution over debt, losses, infrastructure costs, and demanding valuations.
