Meta Launches Massive $95 Billion Stock Offering to Fuel AI Expansion

Mandy Eckart ·

Meta said Monday that it plans to raise $95 billion to support investments in AI infrastructure and superintelligence. The announcement places a vast new equity financing plan behind the technology giant’s expanding artificial intelligence ambitions.

Investors initially welcomed the news. Meta shares were up 1.6% in premarket trading following the announcement, offering an early positive response to a capital plan that will substantially expand the company’s access to equity funding.

The fundraising will unfold in two stages. Meta intends to begin by raising $35 billion through underwritten public equity offerings before seeking an additional $60 billion through an at the market program.

Together, the two parts would deliver the announced $95 billion total. The structure gives Meta an initial block of capital through the underwritten offerings while reserving the larger portion for the later at the market program.

Meta said the planned investments will support “emerging AI opportunities” across several parts of its operations. Those opportunities include its family of apps, its AI agent Muse and its data center business.

The announcement ties the new capital directly to the infrastructure and computing push surrounding artificial intelligence. Superintelligence is also among the areas Meta identified when explaining the purpose of the planned financing.

Equity is only one component of the company’s wider funding approach. Meta plans to balance the financing of its investments through operating cash flow, investment grade debt, partnerships and equity capital.

That mix gives the company several stated sources for covering its investment plans. The newly announced stock offerings add substantial equity capacity alongside cash generated by operations, borrowing and capital provided through partnerships.

Meta is among the major hyperscalers increasingly tapping debt to pay for expensive infrastructure required for the AI boom. Its financing plan shows that equity capital will also have a major role in supporting the company’s spending ambitions.

The $95 billion announcement follows Meta’s third quarter results last week. Those results showed revenue climbing 26% from a year earlier, reaching $64.60 billion and surpassing the $63.37 billion expected by analysts.

The revenue performance was not enough to keep investors focused on the top line. Instead, attention shifted toward Meta’s negative free cash flow and a higher forecast for full year capital expenditures.

Meta now expects full year capital expenditures to fall between $135 billion and $145 billion. The company previously placed the bottom of that range at $130 billion, meaning the updated outlook raised its minimum forecast by $5 billion.

Shares moved lower on the day following that spending update. The reaction reflected the investor focus described in the results, with negative free cash flow and the larger capital expenditure forecast overshadowing revenue that exceeded analyst expectations.

Monday’s premarket move went in the opposite direction, with the stock gaining 1.6% after Meta announced the equity plan. The gain came as the company detailed how it intends to raise funds for its AI infrastructure and superintelligence investments.

The planned $35 billion underwritten portion represents the first step in that process. Meta would then pursue the additional $60 billion through its at the market program, completing the full amount if both planned portions are raised.

The financing announcement brings Meta’s investment plans and capital requirements into sharper focus after the latest quarterly report. With its capital expenditure range increased and free cash flow negative, the company is laying out several sources of funding for its expanding AI effort.
